Terms of Service

Welcome to Vepoula. These Terms of Service ("Terms") govern your use of the Vepoula event marketplace platform. By creating an account or using our services, you agree to these Terms.
1. Overview
Vepoula is an online marketplace that connects event customers ("Customers") with event service providers ("Vendors"). We facilitate bookings, payments, and communication between parties but are not a party to the service agreements between Customers and Vendors.
2. Account Registration
- You must be at least 18 years old to create an account.
- You must provide accurate and complete registration information.
- You are responsible for maintaining the confidentiality of your account credentials.
- Each person may only maintain one account per role (Customer or Vendor).
- We reserve the right to suspend or terminate accounts that violate these Terms.
3. Marketplace Rules
For Customers
- Provide accurate event details when making booking requests (date, time, location, requirements).
- Respond to vendor communications in a timely manner.
- Make payments through the Vepoula platform — do not arrange off-platform payments.
- Treat vendors with respect and professionalism.
- Confirm vendor arrival and checkout honestly and promptly.
For Vendors
- Provide accurate information about your services, pricing, and availability.
- Respond to booking requests within the specified deadline.
- Honor confirmed bookings and arrive on time to events.
- Maintain professional conduct at all times during events.
- Complete check-in and check-out procedures as required.
- Do not solicit customers for off-platform transactions.
- Keep your portfolio and profile information current and truthful.
4. Bookings
- A booking is created when a Customer submits a booking request to a Vendor through the platform.
- Vendors must accept or decline booking requests within the specified response deadline.
- Once a Vendor accepts a booking, both parties are expected to honor the commitment.
- Booking details (date, time, location, price) constitute the agreement between Customer and Vendor.
- Vepoula may provide contracts for bookings but is not a party to these contracts.
5. Payments and Fees
- All payments must be processed through the Vepoula platform using our supported payment methods (Stripe, PayPal, MercadoPago, Pix, Boleto).
- Vepoula charges a platform commission (currently 15%) on each completed booking.
- Customers pay the full booking amount at the time of booking or according to the agreed payment plan.
- Vendors receive their earnings (minus platform fees and payment processing fees) via direct deposit to their connected bank account.
- Payment plans, when available, must be honored according to the agreed schedule.
6. Cancellation Policy
- Either party may cancel a booking before the event date.
- Repeated cancellations may negatively affect a Vendor's reliability score and platform standing.
- Refund eligibility depends on the timing of cancellation and the specific circumstances.
- Vepoula reserves the right to determine refund amounts in disputed cancellations.
7. No-Show Policy
- If a Vendor fails to appear at a confirmed booking ("No-Show"), the Customer may report the no-show through the platform.
- No-shows are tracked and affect the Vendor's reliability score.
- Customers may request an emergency replacement vendor in case of a no-show.
- Repeated no-shows may result in account suspension or termination.
8. Dispute Resolution
- In the event of a dispute between a Customer and Vendor, both parties should first attempt to resolve the issue through direct communication via the platform's messaging system.
- If the dispute cannot be resolved directly, either party may escalate the issue to Vepoula's admin team for review.
- Vepoula's admin team will review disputes and may mediate a resolution, but is not obligated to resolve every dispute.
- Vepoula's decision on disputed matters (refunds, account actions) is final.
- For billing disputes related to payment processing, users should contact the relevant payment provider.
9. Vendor Responsibilities
- Vendors are independent service providers, not employees or agents of Vepoula.
- Vendors are solely responsible for the quality of their services, their own insurance, licenses, and compliance with local laws and regulations.
- Vendors must accurately represent their qualifications, experience, and portfolio.
- Vendors are responsible for their own taxes and business obligations.
- Premium and verified status may be revoked if Vendors fail to maintain required standards.
10. Content and Conduct
- Users must not upload content that is illegal, offensive, misleading, or infringes on intellectual property rights.
- Portfolio images and profile content must be your own work or used with permission.
- Vepoula reserves the right to remove content and suspend accounts that violate these guidelines.
- Reviews and ratings must be honest and based on actual experiences.
11. Limitation of Liability
Vepoula is a marketplace platform that connects Customers and Vendors. We do not provide event services directly. To the maximum extent permitted by law:
- Vepoula is not liable for the quality, safety, or legality of services provided by Vendors.
- Vepoula is not liable for the accuracy of information provided by users.
- Vepoula is not liable for any damages arising from interactions between Customers and Vendors.
- Our total liability is limited to the platform fees collected for the relevant transaction.
12. Account Termination
- You may delete your account at any time through your profile settings.
- Vepoula may suspend or terminate accounts for violations of these Terms, fraud, or other misconduct.
- Upon termination, your access to the platform will be revoked, but data may be retained as described in our Privacy Policy.
13. Modifications to Terms
We may update these Terms from time to time. Continued use of the platform after changes constitutes acceptance of the updated Terms. We will notify users of material changes.
14. Governing Law
These Terms are governed by the laws of the jurisdiction in which Vepoula operates. Any disputes arising under these Terms shall be resolved in the courts of that jurisdiction.
